Fairgrown Connect

These Terms of Service define the legal terms under which you may access and use Fairgrown Connect, the proprietary operating platform of Fairgrown Farm LLC. The Software is protected by copyright law and is licensed, not sold. By using the Software, you agree to these Terms.

Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Fairgrown Connect, including all associated web portals, mobile interfaces, and backend services (collectively, the "Software" or the "Service"). The Software is owned and operated by Fairgrown Farm LLC ("Fairgrown," "we," "us," or "our"). By creating an account, logging in, or otherwise accessing or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Software. Your continued use of the Software constitutes ongoing acceptance of these Terms and any updates we may publish.

Proprietary Software License

Fairgrown Connect is proprietary software. The Software is licensed, not sold. Fairgrown Farm LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for the purpose of conducting authorized business activities with Fairgrown, such as placing orders, managing deliveries, coordinating logistics, and related operational workflows. This license is personal to you and to the organization on whose behalf you act. You may not sublicense, assign, distribute, or otherwise transfer your access rights to any other person or entity without the prior written consent of Fairgrown Farm LLC.

Intellectual Property & Copyright

The Software — including its source code, object code, user interface, graphics, text, data structures, database schemas, business logic, documentation, branding, and all derivative works — is the exclusive property of Fairgrown Farm LLC and is protected by United States copyright law and international copyright treaties. © 2026 Fairgrown Farm LLC. All rights reserved. All trademarks, service marks, trade names, logos, and brand identifiers displayed in the Software are the property of Fairgrown Farm LLC or their respective owners. Restrictions on Use

You may not, and you may not permit any other person or entity to: • Copy, reproduce, duplicate, or redistribute the Software or any portion of it, in whole or in part, by any means or in any form; • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or data structures of the Software; • Modify, adapt, translate, or create derivative works based on the Software; • Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer access to the Software to any third party; • Use the Software to develop any competing product or service; • Remove, alter, or obscure any copyright notice, proprietary legend, or other legal notice displayed in the Software; • Use the Software in any manner that violates applicable law or regulation. Any unauthorized copying, duplication, reproduction, or distribution of the Software or any component of it constitutes copyright infringement and may subject the infringer to civil and criminal penalties under applicable law.

Copyright Infringement

Fairgrown Farm LLC takes copyright infringement seriously. The Software and all of its components are protected by copyright law. Unauthorized copying, duplication, reproduction, distribution, or reverse engineering of the Software — in whole or in part — constitutes a violation of federal and international copyright laws, including but not limited to the United States Copyright Act (17 U.S.C. § 101 et seq.). If you become aware of any unauthorized use, copying, or distribution of the Software, you agree to notify Fairgrown Farm LLC promptly. Fairgrown Farm LLC reserves the right to pursue all available legal remedies against any person or entity that infringes its intellectual property rights, including injunctive relief, monetary damages, and reimbursement of attorney's fees and costs. Fairgrown Farm LLC may, at its sole discretion, immediately terminate the access rights of any user who is found to have engaged in, facilitated, or encouraged any act of copyright infringement or unauthorized copying of the Software.

Accounts & Access

Access to the Software is provided through individual user accounts. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Fairgrown Farm LLC immediately if you become aware of any unauthorized use of your account. Fairgrown Farm LLC reserves the right to suspend or terminate access at any time, with or without cause, and with or without notice.

Disclaimers & Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FAIRGROWN FARM LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAIRGROWN FARM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

Changes to These Terms

Fairgrown Farm LLC may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. We encourage you to review this page periodically. Your continued use of the Software after any changes constitutes acceptance of the revised Terms.
